Terms of Service

1. Acceptance of Terms

By accessing or using Reachly ("the Service"), a product of Shift IA LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Reachly is an AI-powered social media marketing platform that helps businesses create, approve, and publish marketing campaigns across social networks including LinkedIn. The Service uses artificial intelligence (Anthropic Claude) to generate campaign content based on your business profile and inputs.

3. Account Registration

• You must provide accurate and complete information when registering.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old or have legal authority to represent a business entity.
• One person or entity may not maintain more than one free account.

4. Acceptable Use

You agree not to use Reachly to:

• Post content that is illegal, defamatory, discriminatory, or violates third-party rights
• Spam, phish, or mislead users on any social platform
• Violate LinkedIn's or any other platform's Terms of Service
• Attempt to reverse-engineer, scrape, or interfere with the Service
• Use the AI-generated content for deceptive or fraudulent purposes
• Publish content that constitutes hate speech, harassment, or violence

5. Social Media Integrations

When you connect a social media account (e.g., LinkedIn), you authorize Reachly to publish content on your behalf using that platform's API. You remain solely responsible for all content published through the Service. Reachly will only publish content that you have explicitly approved.

You represent that you have the right and authority to publish content on behalf of any company page or organization profile you connect to Reachly.

6. AI-Generated Content

Reachly uses AI to generate marketing content suggestions. You acknowledge that:

• AI-generated content may be inaccurate or require editing before publication
• You are responsible for reviewing and approving all content before it is published
• Shift IA is not liable for the accuracy or performance of AI-generated content
• The same content may be generated for different users on similar topics

7. Intellectual Property

Content you create and publish through Reachly remains your property. You grant Shift IA a limited, non-exclusive license to process your content solely for the purpose of delivering the Service. The Reachly platform, software, and branding are the intellectual property of Shift IA.

8. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

9. Termination

You may cancel your account at any time from the account settings. We may suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your right to access the Service immediately ceases.

10. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranties of any kind. Shift IA does not guarantee that the Service will be uninterrupted, error-free, or that published content will achieve specific marketing results. To the maximum extent permitted by law, Shift IA's total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, where Shift IA LLC is incorporated. Disputes shall be resolved by arbitration or in the competent courts of Delaware, without prejudice to applicable consumer protection rights in the user's jurisdiction.

12. Changes to Terms

We may update these Terms at any time. We will provide at least 30 days' notice for material changes via email or in-app notification. Continued use after changes constitutes acceptance.
